AIB Corporate Banking

Acquisition Finance

AIB Acquisition Finance focuses on the provision of debt finance solutions for management and institutional buyouts, public to private transactions, company recapitalisations and reorganisations.
The unit was established within the AIB Group in 1990 and consists of around 50 experienced professionals based in London, Frankfurt, Paris and Dublin. The team members have a broad range of backgrounds including prior experience in banking, corporate finance, private equity, industry, management consultancy and accounting. The experience of the team members is matched by a commitment to deliver a fast and consistent service, which has resulted in our strong market position in the leverage market.

Senior Debt
AIB is an arranger, underwriter and participant in UK and European leveraged debt transactions and has demonstrated its commitment to this market through a series of large high profile investments.
The team has arranged and underwritten in excess of EUR12bn in support of circa.400 transactions during its 17-year history with over EUR3.5bn of leveraged assets currently in our senior debt portfolio. Our presence across Europe and market expertise gained since inception, has allowed us to extend credit facilities across a large number of jurisdictions and industries. We are not limited by geographic, sectoral or currency lending restrictions.
Debt has been provided in support of various transaction types including:

  • Leveraged buy outs
  • Public to Privates
  • Corporate Acquisitions
  • Financial Restructurings
  • Mezzanine / Subordinated Debt

Through AIB Acquisition Finance, AIB is one of a limited number of mezzanine /subordinated debt providers in the UK and Europe. As providers of subordinated debt for 16 years, our team has extensive experience in structuring subordinated debt packages. We can provide mezzanine and other types of subordinated debt (including PIK note underwriting) both on a stand-alone basis and as part of a combined senior / mezzanine package. Our knowledge and expertise allows us to provide a tailored and flexible package to our customers, and allows them in turn to avail of an optimised financing package in support of each transaction.

Asset Management
The rapidly evolving Continental European buyout market precipitated a need for more diverse sources of debt funding which resulted in the development of the European CDO market. The AIB Acquisition Finance team (through AIB Capital Markets plc) was one of the first asset managers to establish a CDO fund in Europe. Following the success of our initial fund, (Tara Hill B.V.), we have developed a strong CDO franchise and present day AIB is one of the leading players in Europe with over EUR1.6bn funds under management, through four CDOs. Furthermore AIB's lead arrange capability has allowed us to access assets other CDO managers do not.

Recent Transactions

Recent lead arrange transactions include Prosodie (Apax), Mater Private (Capvest), BWG (Management), Parkeon (Apax), Extec (3i) and Doncasters (Dubai International Capital). The team has also continued its commitment to high value underwrites.

Going forward we aim to maintain our reputation in the European leverage market through a consistent approach and continued long term commitment to the asset class. Our successful track record reflects our commercial approach to deal structuring and documentation, supported by short reporting lines, senior management with leveraged finance backgrounds, an efficient and integrated credit process and the longevity of relationships built with the main deal providers.
